定义

客户: 指向诺曼家具（广州）有限公司发出采购订单的企业、个人或其他法律实体。
订单: 客户从诺曼家具（广州）有限公司购买产品的单据。
诺曼家具: 指诺曼家具（广州）有限公司。

订单处理

每张订单均独立处理，诺曼家具以书面或电子形式发送订购确认单后始为最终订单。收到全款后，除非另有协议，否则诺曼家具将尽快交付。确认订单时，客户须确认账单地址及交货地址，未确认的，诺曼家具将不予送货。客户于订单确认后不可作任何更改或退换。货品交付时间因产品而异，一般情况下，体积较小的库存货品将在七（7）个工作日内发货。特殊产品、家具和大额订单的交付须视乎情况而定, 并可能向客户收取运输附加费。最低订购量为一个完整的包装单位，少于一个包装单位的订单，会向客户收取额外费用。

交付条款

交付条款为「完税交货 – 指定目的地」，指定目的地须在诺曼家具服务范围内。交付后，客户须承担货品丢失或损坏的风险。如有延迟，客户将收到有关通知。客户无权就货品延迟提出任何索赔。客户有义务在交付时检查货品。如有异常状况，客户应自收货日起三（3）个工作天内与诺曼家具联络，诺曼家具有权向客户发出信用票据或安排另行送货。货品售价不包括安装服务，如需安装服务或额外指导，会另作收费。

投诉处理

收到投诉后，诺曼家具有权按损坏程度维修或更换有问题的产品。

产品责任

如有足够理据证明是诺曼家具的错误或过失导致产品损坏，诺曼家具仅对交付产品的自身损坏负责，诺曼家具不会就其产品损坏而造成的运营损失、收益损失或其他财务后果承担任何责任。

支付条款

收到款项或定金后，诺曼家具将发送付款收据给客户。客户如需发票，可于产品送达后7个工作天内向诺曼家具申请。低于或等于人民币十万元的订单均需在订单确认之时起24小时内全额支付（其中20%为定金）。 人民币十万零一元或以上的订单，需在订单确认之时起24小时内支付六成的款项（其中20%为定金），剩余四成款项须在安排送货前支付完毕。如款项支付不符合本合同约定，诺曼家具有权取消订单并没收定金及已付款项。
诺曼家具保留对已售货品的一切权利，直至诺曼家具收到包括利息(如有)在内的全额货款。任何欠款将按每月2%的利率计息。所有零售价格均包含当地增值税。任何额外与运费及保险相关的费用（如适用）应由客户支付，并于安排送货前按次收费。

造工偏差

任何颜色样本或木材样本只供参考，诺曼家具对于样本与交付的订单之间的差异概不负责。上述产品在合理范围内的生产差异不属质量问题。日常使用中对产品表面造成的磨损不属质量问题。

法律责任

诺曼家具不承担任何间接或连带损失责任。

纠纷

任何有关违反本条款、其终止及有效性而引起的问题和争议，在双方无法协商解决的情况下，诺曼家具有权选择由中国广州仲裁委员会按照《中国广州仲裁委员会仲裁规则》进行仲裁，或由诺曼家具所在地有管辖权的人民法院审判，以上仲裁或审判结果是终局的，对双方均有约束力。

免责声明

诺曼家具对任何印刷错误及价格变动概不负责。诺曼家具保留更改或终止制造任何产品的权利，而无须事前通知客户。
本合同使用中文和英文两种语言书写，两种语言表述不一致的，以中文版本为准。

Definitions

Customer: The company, person or other legal entity from whom Normann Copenhagen – Guangzhou receives the Order.
Order: The Customer’s purchase of products from Normann Copenhagen – Guangzhou.
Normann: Normann Copenhagen – Guangzhou.

Order handling

Every Order is individually handled. An Order is final once Normann has forwarded an Order Confirmation by softcopy or hardcopy to the Customer. Upon full payment, the Customer must confirm the billing address and the delivery address, then Normann shall deliver as soon as possible unless otherwise agreed. Failure to provide confirmation will result in non-delivery. No change nor cancellation is allowed once the Order is confirmed. Delivery time for standard items varies from product to product. Normally, smaller items in stock will be shipped within seven (7) working days. Delivery on special products, upholstery products and large orders is agreed on a case by case basis, and may be subject to shipping surcharges. Minimum order is a complete colli unit. If the Customer breaks a colli, a surcharge will be added.

Delivery terms

Delivery is DDP within the region where Normann conducts their business in. Risk of loss or damage to the Order shall pass to the Customer after delivery. In case of delay, the Customer will be informed. The Customer is not entitled to make any claim in case of delay. The Customer is obligated to check the goods upon receipt of the delivery. In case of discrepancies, the Customer shall contact Normann within three (3) working days from the date of receipt; and Normann may decide to issue a Credit Note or arrange a redelivery. The sale price does not include installation services. If installation services or additional instructions are required, surcharges will apply.

Complaints

Normann is entitled to repair or replace the products in respect to the degree of defection of the products when the complaint is received in due time.

Product liability

Normann is only liable for physical damage of the delivered products, if provided with sufficient documentation of the damage occurred is due to Normann’s error or negligence. Normann is not liable for operational losses, loss of earnings or other financial consequences arising from damage caused by the products.

Payment terms

Payment Receipt is issued to the Customer upon Normann receiving full payment, or deposit. Customer can apply for Official Invoices from Normann within seven (7) working days after the delivery of goods. 100% payment is required within 24 hours for all Orders below or equal to CNY 100,000 (of which 20% is security deposit). For Orders above or equal to CNY 100,001, 60% payment is required within 24 hours (of which 20% is security deposit). The remaining 40% of payment is to be settled prior to the delivery arrangement. In case of delayed or non-conformed payment, Normann reserves the right to cancel the order and to forfeit the payment and the deposit made. Normann retains the right to the sold goods until Normann receives conformed and full payment including interest (if applicable). Any amount overdue is subject to interest at a rate of 2% per month. All retail prices are inclusive of local VAT. Costs related to freight and insurance (if any) shall be charged per shipment and shall be paid by the Customer prior to the delivery arrangement.

Tolerances

Any colour samples or wood samples can only be considered as a reference. Normann is not liable for any discrepancy between the sample and the Order delivered. Reasonable production variances are not considered defective products. Wear and tear due to normal everyday use on upholstery, surfaces etc. are not considered defective products.

Liability

Normann is not liable for any indirect or consequential losses.

Disputes

All disputes arising out of or related to the Order, breach, termination or invalidity thereof, which cannot be settled by the parties themselves, shall be settled conclusively by either the Rules and Procedures of the Guangzhou Arbitration Commission, or through trial by the local People’s Court with jurisdiction, at the sole discretion of Normann. The ruling is final and must be respected by both parties.

Disclaimer

Normann is not responsible for any printing errors and price changes. Normann reserves the right to make changes or to terminate the manufacture of any product without prior notice to the Customer.

Should there be any discrepancy between the English and Chinese versions, the Chinese version shall prevail.
